These Terms of Service ("Terms") govern your access to and use of TextBridge and any related websites, applications, software, messaging features, APIs, and services (collectively, the "Services") provided by JR4 Consulting, Inc. ("JR4 Consulting," "we," "us," or "our").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.

1. Business Use Only

TextBridge is offered for business use only. You may use the Services only for lawful business purposes and only in compliance with these Terms and all applicable laws, regulations, carrier rules, platform requirements, and third-party provider requirements.

2. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate, current, and complete information when registering for and using the Services, and to keep that information updated.

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Restricting unauthorized access to your account and systems

  • Promptly notifying us of any suspected unauthorized use or security incident

3. Description of the Services

TextBridge is a communication-bridging service designed to facilitate message routing and related workflows between SMS messages on a business customer’s phone system and email messages on that business customer’s servers or email systems.

TextBridge is not a telecom carrier, email provider, or internet service provider. Delivery of messages may depend on third-party carriers, telephony platforms, email providers, network operators, internet infrastructure, and other service providers outside our control.

We may modify, improve, suspend, or discontinue all or part of the Services at any time, with or without notice, subject to applicable law.

4. Customer Responsibilities

You are solely responsible for:

  • Your use of the Services

  • All content, messages, and data submitted, transmitted, routed, or processed through the Services

  • The legality, accuracy, and appropriateness of your messages and related content

  • The contacts, phone numbers, and email addresses you use with the Services

  • Obtaining any consent, notice, or authorization required by law, carrier rules, or platform policies

  • Compliance with laws governing SMS, email, marketing, consumer protection, privacy, and communications

  • Maintaining your own business records and backups where needed

You represent and warrant that you have all rights and permissions necessary to use the contact data, message content, and systems you connect to the Services.

5. Prohibited Uses

You may not use the Services to:

  • Send, route, or facilitate unlawful, deceptive, fraudulent, abusive, harassing, or threatening content

  • Transmit spam, unsolicited marketing, or messages without required consent

  • Violate any applicable TCPA, CAN-SPAM, carrier rules, privacy laws, or other communications laws

  • Impersonate another person or entity or misrepresent your affiliation

  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems

  • Reverse engineer, scrape, copy, or exploit the Services except as expressly permitted by law

  • Use the Services to process or transmit content that infringes intellectual property or other rights

  • Use the Services in a way that could harm us, our providers, carriers, or other users

We may investigate suspected violations and may suspend or terminate access at our discretion.

6. Messaging Compliance

You are solely responsible for ensuring that your use of TextBridge complies with:

  • Applicable SMS, MMS, email, privacy, and marketing laws

  • Telephone Consumer Protection Act (TCPA) requirements

  • CAN-SPAM requirements

  • Carrier registration, messaging, and opt-in requirements

  • Platform policies, provider rules, and anti-spam requirements

Where required, you must obtain valid consent before sending messages. You must honor opt-out requests, maintain required disclosures, and ensure your privacy policy, terms, and consent language are accurate and compliant.

We do not provide legal advice, and your use of the Services does not guarantee compliance with any law or carrier requirement.

7. AI and Automated Features

TextBridge may offer AI-enabled or LLM-powered features. By using those features, you understand and agree that:

  • Inputs you provide may be processed by third-party AI providers

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate for your intended use

  • You are solely responsible for reviewing, approving, and using any AI-generated content or recommendations

  • AI features may change over time and may be subject to additional provider limitations

You must not rely on AI-generated output as legal, regulatory, financial, medical, or other professional advice.

8. Payments and Billing

Paid features may require payment of subscription fees, usage fees, taxes, or other charges. You authorize us and our payment processor, including Stripe, to charge the payment method you provide for all amounts due.

Unless otherwise stated:

  • Fees are stated in U.S. dollars

  • Fees are non-refundable except as required by law or as expressly stated by us in writing

  • You are responsible for applicable taxes, duties, or government charges

  • We may change pricing upon reasonable notice

If your payment method fails or your account becomes past due, we may suspend or terminate your access to paid features.

9. Third-Party Services

The Services may rely on or integrate with third-party services, including carriers, SMS providers, email providers, hosting providers, analytics providers, payment processors, and AI providers. We are not responsible for the acts, omissions, performance, availability, or policies of third parties.

Your use of third-party services may be subject to separate terms and policies between you and the third party.

10. Availability and Service Limitations

We do not guarantee that the Services will be uninterrupted, error-free, secure, timely, or available at all times. Message delivery may fail or be delayed because of carrier filtering, provider outages, spam controls, configuration issues, network problems, system maintenance, or other reasons beyond our control.

You acknowledge that the Services may be subject to limitations, rate restrictions, message filtering, or suspension by carriers and other providers.

11. Data Handling and Retention

Our handling of personal information is described in our Privacy Policy.

TextBridge is designed so that message bodies are not stored long term in the ordinary course of business. However, we may temporarily process message content in transit and may retain limited logs, identifiers, metadata, support records, billing records, security records, and related information as reasonably necessary to operate, secure, troubleshoot, improve, and support the Services or comply with legal obligations.

12. Intellectual Property

The Services, including all software, design, content, trademarks, branding, and related materials provided by us, are owned by JR4 Consulting, Inc. or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, lease, reverse engineer, or create derivative works based on the Services.

13. Feedback

If you provide ideas, feedback, suggestions, or recommendations regarding the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without restriction or compensation.

14. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if:

  • You violate these Terms

  • We suspect fraud, abuse, illegal conduct, or security issues

  • Required by law, carriers, providers, or regulators

  • A third-party dependency is unavailable or terminates service to us

  • Your account is delinquent or inactive

You may stop using the Services at any time. Termination does not relieve you of obligations accrued before termination, including payment obligations.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. JR4 CONSULTING, INC. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, that any communication will be delivered, that the Services will be uninterrupted or error-free, or that defects will be corrected.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JR4 CONSULTING, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless JR4 Consulting, Inc. and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your
